The parties have read all pages of this Agreement, agree to all its terms, and acknowledge receipt of a complete copy of the Agreement signed by both parties. Each person signing as Client below shall be fully responsible for ensuring that full payment is made pursuant to the terms of this Agreement.

Terms and Conditions
This Agreement is subject to all the terms and conditions appearing below. 1. Deposit and Payment. The Client shall make a deposit of 50% of the total fee to retain the Photographer to perform the services specified herein on the date agreed. On the date of services, before the session begins, the deposit shall be applied to reduce the total cost and Client shall pay the balance due. If the Client refuses to pay, the Photographer will assume the session canceled and retain the deposit. A re-shoot may be scheduled at the Photographer’s discretion. 2. Photographic Materials. All photographic materials, including but not limited to digital files, negatives, transparencies, proofs, and previews, shall be the exclusive property of the Photographer. The Photographer shall provide digital files to the Client for the Client’s non-commercial personal printing needs, including distribution to friends and family. Images are not to be altered, sold or published (facebook and other social media distribution is OK) without the Photographer’s written permission. A rights release allowing the Client to print the digital files shall accompany the delivery. 3. Copyright and Reproductions. The Photographer shall own the copyright in all images created. The Photographer shall only make reproductions for the Client or for the Photographer’s portfolio, samples, self-promotions, entry in photographic contests or art exhibitions, editorial use, for display within or on the outside of the Photographer’s studio, or in website posts (blogs) related to the Photographer’s business. If the Photographer desires to make other uses, the Photographer shall not do so without first obtaining the written permission of the Client. 4. Image Processing/Printing: Unless agreed upon prior to any editing work, high-resolution discs and/or proof sets may contain a mixture of color and black and white images. Limited color correction and/or retouching are included at Photographer's discretion. Client may request further changes for an additional charge. Photographer is not responsible for any prints that are not ordered directly from her. For best results, clients with the high-resolution files should order their prints through a reputable lab. 5. Photo Discs: Upon receipt of a photo CD/DVD, Client accepts all responsibility for archiving and protecting the photographs. Photographer does not permanently archive image files. Photographer is not responsible for the lifespan of any digital media provided or for any future changes in digital technology or media readers that might result in an inability to read discs provided. It is Client's responsibility to make sure that digital files are copied to new media as required. 6. Model release. Client hereby grants Photographer the unrestricted right and permission to copyright and use, re-use, publish, and republish photographic portraits or pictures of the Client or others involved in the session covered by this contract. Photographer’s use of Client’s likeness will be restricted to those mentioned in paragraph three (3). 7. Miscellany. This Agreement incorporates the entire understanding of the parties. Any modifications of this Agreement must be in writing and signed by both parties. Any waiver of a breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement. This Agreement shall be governed by the laws of the State of Virginia.
