Exclusive Photographer. The Photographer shall be the exclusive photographer retained by the Client for the purpose of photographing the wedding. Family and friends of the Client shall be permitted to photograph the wedding as long as they shall not interfere with the Photographer’s duties. 2. Retainer and Payment. The Client shall pay a retainer of 50% of the total agreed to secure the Photographer’s services on the wedding date. The Client shall pay the balance of the Photographer’s fees in full no later than wedding date. 3. Cancellation. If the Client shall cancel this Agreement within five (5) days of signing the contract, the retainer paid will be returned in full, otherwise it shall be nonrefundable. 4. Photographic Materials. All photographic materials, including but not limited to digital files, negatives, transparencies, proofs, and previews, shall be the exclusive property of the Photographer. The Photographer shall provide digital negatives to the Client for the Client’s <i>non-profit personal</i> printing needs, including distribution to friends and family. Images are not to be altered, sold or published (Facebook and other social media distribution is OK) without the Photographer’s written permission. A rights release allowing the Client to print the digital files shall accompany the delivery. 5. Copyright and Reproductions. The Photographer shall own the copyright in all images created. The Photographer shall only make reproductions for the Client or for the Photographer’s portfolio, samples, self-promotions, entry in photographic contests or art exhibitions, editorial use, for display within the Photographer’s studio, or in website posts (blogs) related to the Photographer’s business. If the Photographer desires to make other uses, the Photographer shall not do so without first obtaining the written permission of the Client. 6. Model release. Client hereby grants Photographer the unrestricted right and permission to copyright and use, re-use, publish, and republish photographic portraits or pictures of the Client or others involved in the session covered by this contract. Photographer’s uses of Client’s likeness will be restricted to those mentioned in paragraph five (5). 7. Client’s Usage. The Client is obtaining prints or digital files for personal use only, and shall not sell said prints or digital files or authorize any reproductions thereof by parties other than the Photographer. 8. Failure to Perform. The Photographer may substitute another photographer to take the photographs in the event of Photographer’s extreme illness or other emergency. In the event of such substitution, Photographer warrants that the photographer taking the photographs shall be a competent professional. If the Photographer cannot perform this Agreement due to a fire or other casualty, strike, act of God, or other cause beyond the control of the parties, then the Photographer shall return the retainer and other fees paid to the Client but shall have no further liability with respect to the Agreement. This limitation on liability shall also apply in the event that photographic materials are damaged in processing, lost through camera or computer malfunction, lost in the mail, or otherwise lost or damaged without fault on the part of the Photographer. In the event the Photographer fails to perform for any other reason, the Photographer shall not be liable for any amount in excess of the retail value of the Client’s order. 9. Image Processing/Printing: Unless agreed upon prior to any editing work, high-resolution discs and/or proof sets may contain a mixture of color and black and white images. Limited color correction and/or retouching are included at Photographer's discretion. Client may request further changes for an additional charge ($100/hour for editing services). Photographer is not responsible for any prints that are not ordered directly from her. For best results, clients with the high-resolution files should order their prints through a reputable lab. 10. Coverage: Photographer will provide coverage for the dates and locations specified in this Agreement. Images determined by the photographer to be substandard or duplicated may be edited out. The Photographer will use her professional judgment and sole discretion to select which photos to deliver. Such selection shall constitute all images that will be made available to Client. While Photographer will make every reasonable effort to take photos specifically requested by Client, Client understands that this is an uncontrolled event and that due the vagaries of the weather, available light, time restrictions, and willingness of subjects, Photographer cannot possibly guarantee that ALL requested photos will be taken. 11. Meal for Photographer(s). For events consisting of six (6) or more continuous hours of coverage, Client will provide a substantial meal for the Photographer(s) and an appropriate block of time for eating, or sufficient time to obtain a substantial meal. 12. Photo Discs: Upon receipt of a photo CD/DVD or jump drive, Client accepts all responsibility for archiving and protecting the photographs. Photographer does not permanently archive image files. Photographer is not responsible for the lifespan of any digital media provided or for any future changes in digital technology or media readers that might result in an inability to read discs provided. It is Client's responsibility to make sure that digital files are copied to new media as required. 13. Miscellany. This Agreement incorporates the entire understanding of the parties. Any modifications of this Agreement must be in writing and signed by both parties. This Agreement shall be governed by the laws of the State of Virginia.
